Vendor Agreement
INDEPENDENT CONTRACTOR AGREEMENT (1099)
This Agreement is by and between Snap-Shot Services, an Arkansas Limited Liability Corporation (hereinafter “SSS”), and ___________________, (hereinafter "Agent"). Whereas SSS desires the services of Agent and Agent desires and agrees to perform such services for SSS.
Now, therefore, in consideration of the mutual promises and undertakings set forth herein, SSS hereby retains Agent to perform the Agent services specified here-in. Agent shall perform such services during the term of this Agreement, commencing on the date of ratification.
1.0 SCOPE OF SERVICES
1.1 Primary services to be provided by Agent will be taking pictures of real estate properties with or without improvements and completing the required “inspection form” as provided by SSS.
1.2 Exterior Only Residential Properties will require pictures of the front and both sides of the house and a picture of the street. If interior pictures are required, contact information on the owner/tenant will be provided along with a list of required pictures.
1.3 Rush pictures are required to be completed the same day or within 24 hours and will be explained in the request.
1.4 Residential Construction pictures may be required and forms used by the Client will be provided for the Agent to complete.
1.5 Exterior only Commercial pictures include pictures of all 4 sides of the building, plus pictures of the front, side and rear parking lots and a picture of the street.
1.6 Agent will receive step by step guidelines from SSS for each service assignment the Agent accepts.
2.0 RECORDS
Agent shall have access to SSS's automated systems relating to their performance under this Agreement. Monthly invoices will be provided to agent by the 30th and/or 31st of each month. Payment to consultant will be made promptly to Agent the first business day of the following month.
3.0 TAXES
Agent shall have sole responsibility for payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax laws and for filing all required tax forms with respect to any amounts paid by SSS to Agent hereunder. Agent shall indemnify and hold SSS harmless against any claim or liability (including penalties) resulting from failure of Agent to pay such taxes or contributions, or failure of Agent to file any such tax forms.
4.0 CONFIDENTIALITY
Except as may hereinafter be specifically provided, all information disclosed or otherwise made available by SSS to Agent and its employees pursuant to this Agreement shall be considered "Confidential Information”, including but not limited to, the method and percentage of compensation paid to Agent by SSS. Agent specifically agrees that this agreement and its content will not be shared with other parties.
5.0 TERMINATION
Upon written notice, either party may terminate this Agreement for convenience upon ten (10) calendar day’s written notice. Upon the expiration or termination of this Agreement, Agent shall immediately cease to act in this capacity, and shall discontinue each and all activities concerning SSS clients.
6.0 RELATIONSHIP OF PARTIES
The relationship of Agent to SSS shall at all times be one of independent contractor, and neither party shall have the right or authority to assume or create any obligation on behalf of or in the name of the other or to otherwise act on behalf of the other except as specified in this agreement.
7.0 INSURANCE
Agent shall maintain at his/her expense such insurance as will fully protect Agent from any claims damage for bodily injury including death, and for property damage, which may arise from its activities under this Agreement, whether such activities are performed by Agent or by any subcontractor, or anyone directly or indirectly employed by either of them.
IN WITNESS WHEREOF, the parties have executed this Agreement in duplicate as of this day.
